Terms of service (SaaS subscription agreement)
Version 2026-10-22 · IntentBid.co is provided by BNNR Kamil Bednarski, Warsaw, Poland, VAT ID PL6783171607, REGON 368967330 · ask@answerbid.co
1. Parties and scope
1.1. IntentBid.co (the “Service”) is software provided as a service by BNNR Kamil Bednarski, Warsaw, Poland, VAT ID PL6783171607, REGON 368967330 (“we”, “us”, “Provider”). Contact: ask@answerbid.co.
1.2. These terms are the subscription agreement between us and the business that uses the Service (“Customer”, “you”). They are also our rules for providing services by electronic means under the Polish Act of 18 July 2002 on Providing Services by Electronic Means. The data processing agreement (/dpa) and the privacy policy (/privacy) form part of the agreement. An order form or written agreement signed by both parties prevails over these terms where they differ.
1.3. The agreement is concluded when an authorised person ticks the acceptance box and creates an account or chooses a plan. Electronic acceptance is a valid signature under the EU eIDAS Regulation, the Polish Civil Code, the US E-SIGN Act and the Uniform Electronic Transactions Act. We record who accepted which version, when and from which IP address; you can see this in Settings → Agreements and download it.
2. Business customers only
2.1. The Service is offered only to businesses, for their professional activity. By accepting you confirm that you act for a company or as a sole trader, and that the agreement is directly related to your business and has a professional character for you. Consumer protection rules therefore do not apply, including the 14-day right of withdrawal and the rules for sole traders contracting on consumer terms (art. 385⁵ and 556⁴ of the Polish Civil Code).
2.2. The person accepting confirms that they are at least 18 and authorised to bind the Customer.
3. The Service
3.1. Depending on the plan, the Service includes: creating and running campaigns in your own ChatGPT Ads, Google Ads and Microsoft Ads accounts; identifying the companies that visit your website with our script; GEO audits of your pages with suggested fixes; tracking how AI assistants answer the buyer questions you choose (AEO/GEO); dashboards, reports, alerts, and data import and export.
3.2. The Standard plan includes credits worth $25 a month (227 credits), shown on the pricing page and in Settings → Billing. The Agency plan includes no credits. Company identification, the AEO/GEO tools and Claude features use credits at the rates in the price list (for example an identified company, a GEO audit check or a tracked buyer question); ads and reports do not. Included credits renew at the start of each monthly period and do not roll over. You can buy more credits at any time in the dashboard, paid through Stripe; credits you buy do not expire while your account is active and are never charged automatically. When credits run out the relevant work pauses; nothing is charged automatically.
3.3. Results depend on third parties: AI assistants, identification data sources and ad platforms. Data about AI answers and identified companies is a statistical estimate and can be incomplete or inaccurate. We do not promise any number of companies, mentions, leads or sales.
3.4. Technical requirements: a current version of Chrome, Edge, Firefox or Safari with JavaScript and cookies enabled, and an internet connection. Using any online service carries risks such as malware or unauthorised access; protect your password and devices. You are responsible for all activity under your users’ accounts.
3.5. We may improve and change the Service. We will not remove a core function of your plan during a paid period without telling you at least 30 days in advance; if a change materially reduces the Service, you may end the agreement under section 11.4.
4. Your ad accounts
4.1. When you connect ChatGPT Ads, Google Ads or Microsoft Ads, the Service reads your campaign results and can create campaigns, ad groups and ads in your account. They are always created paused and start only after a user with approval rights approves them in the Service.
4.2. You are the advertiser of record. You pay the ad platform directly under its own terms, you are responsible for the content of your ads, your landing pages and compliance with the platforms’ advertising policies, and you can disconnect at any time. We charge no fee or markup on ad spend in your own accounts.
5. Your website script and personal data
5.1. To identify companies you place our script on your websites. For the personal data of your website visitors you are the controller (GDPR) or the business (US state privacy laws), and we process it on your behalf as processor or service provider under the data processing agreement (/dpa).
5.2. You must have a legal basis for this processing, inform visitors in your privacy notice, and where the law requires (for example in the EU, the UK and some US states) load the script only after consent or honour opt-outs. The script supports waiting for consent and does not run when the browser sends Global Privacy Control. We identify companies, not individual people.
5.3. As a service provider we do not sell or share your visitors’ personal information, do not use it for our own purposes beyond providing and securing the Service, and do not combine it with personal information from other sources except as the US privacy laws allow for service providers.
6. Fees, payment and taxes
6.1. Fees are shown on the pricing page and at checkout, in the currency shown there (US dollars unless stated otherwise), and exclude VAT, sales tax and similar taxes. We add tax where it applies: VAT under the reverse-charge rules for business customers in the EU and the UK with a valid VAT ID, local VAT where reverse charge does not apply, and US sales tax where we are required to collect it. You pay any tax we are not required to collect.
6.2. Payments are processed by Stripe Payments Europe Ltd. (Ireland) and its group companies. You pay by card or another method Stripe offers at checkout. By subscribing you authorise us, through Stripe, to charge the fees for each billing period and any extras you order (credit packs, add-ons, upgrades) to your payment method until the subscription ends. We never see or store full card numbers.
6.3. New accounts can start a 14-day free trial without a payment card, with every feature and a free credit pool worth up to USD 2. The trial ends after 14 days; unused trial credits then expire and the account becomes read-only until a plan is chosen. Nothing is charged unless the Customer chooses a paid plan, which starts on the day it is chosen. One free trial per person and e-mail address; we may refuse or end trials that are used to get around this.
6.4. Subscriptions are billed in advance for the period you choose (monthly or yearly) and renew automatically for the same period until cancelled under section 11. For yearly plans we e-mail a renewal reminder at least 30 days before each renewal, with the price and how to cancel. Upgrades take effect immediately and are charged pro rata; downgrades take effect at the next renewal.
6.5. We issue invoices electronically and send them by e-mail; you can also download them in Settings → Billing. Where the law of our place of establishment requires it, invoices are also issued through the national e-invoicing system.
6.6. If a payment fails, Stripe retries it and we tell you by e-mail. After 7 days we may limit the account to read-only and after 30 days suspend it until the amount is paid. For overdue amounts we may charge statutory interest for late payment in commercial transactions where the applicable law allows it.
6.7. We may change prices for future periods with at least 30 days’ notice by e-mail. The new price applies from your next billing period after the notice period. If you do not agree, you can cancel before it applies.
6.8. Fees already paid are not refundable, except where the law requires it, where we end the agreement without cause (section 11.3), or where we materially reduce the Service and you end the agreement (section 11.4); in those cases we refund the prepaid fees for the unused part of the period.
7. Acceptable use
7.1. You may not: provide unlawful content; use the Service to identify, profile or track individual people; attempt to access other customers’ data; reverse engineer, overload or scrape the Service; resell access without our written consent (except under the Agency plan); or use it in breach of law or of third parties’ terms.
7.2. You confirm that you are not located in, or controlled by persons in, a country or on a list subject to EU, UN, UK or US sanctions, and that you will not use the Service in breach of export control or sanctions laws.
7.3. We may suspend access that seriously breaches this section or puts the Service or other customers at risk, with notice where possible, and restore it once the breach is remedied.
8. Data, confidentiality and intellectual property
8.1. Your data (questions, uploaded lists, campaign settings, reports and results) remains yours. You can export it at any time as CSV on the Data page of the Service. We use it only to provide, secure and improve the Service, and in aggregated, anonymised form for statistics.
8.2. Each party keeps the other’s non-public business information confidential, uses it only for this agreement and protects it with reasonable care, during the agreement and for 3 years after it ends. This does not cover information that is public, already known, independently developed or that must be disclosed by law.
8.3. The Service, its software, design and documentation belong to us or our licensors. During the agreement you receive a non-exclusive, non-transferable right to use the Service for your business. Suggestions you give us may be used freely to improve the Service.
8.4. We may name you as a customer only with your consent, which you can withdraw at any time.
9. Availability and support
9.1. We aim for at least 99.5% monthly availability, excluding planned maintenance announced in advance and events outside our reasonable control. Data from third parties is updated on the schedules described in the Service.
9.2. Support is provided by e-mail at ask@answerbid.co on business days (Central European Time). We aim to answer within 1 business day.
10. Warranties, liability and indemnities
10.1. We provide the Service with reasonable skill and care. Apart from that and what these terms say expressly, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, AND TO THE EXTENT THE LAW ALLOWS WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Under Polish law the statutory warranty for defects (rękojmia) is excluded.
10.2. TO THE EXTENT THE LAW ALLOWS, EACH PARTY’S TOTAL LIABILITY UNDER THE AGREEMENT IS LIMITED TO THE FEES YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT THAT CAUSED THE DAMAGE, AND NEITHER PARTY IS LIABLE FOR LOST PROFITS, LOST REVENUE, LOST DATA THAT COULD HAVE BEEN EXPORTED, OR INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGE.
10.3. These limits do not apply to damage caused intentionally or by gross negligence, to your payment obligations, to your obligations under sections 5 and 7, or to the indemnities in sections 10.4 and 10.5, or where the law does not allow them.
10.4. We will defend you against a third-party claim that the Service, as we provide it, infringes that party’s intellectual property rights, and pay the damages finally awarded, if you tell us promptly, let us control the defence and cooperate. We may instead change the Service so it no longer infringes or end the agreement and refund prepaid fees for the unused period.
10.5. You will defend us against third-party claims arising from your ads, your landing pages, your website script without a legal basis or required consent, or data you import, and pay the damages finally awarded, on the same conditions.
10.6. We are not liable for the actions of ad platforms, AI assistants or other third parties, for your ad spend, or for decisions you make based on the data, nor for delays or failures caused by events outside our reasonable control.
11. Term, notice and termination
11.1. The agreement starts when it is concluded and runs until it is ended under this section. A subscription runs for the billing period you chose and renews automatically.
11.2. You can end the agreement at any time with one month’s notice, by cancelling in Settings → Billing or by e-mail to ask@answerbid.co. The subscription then ends at the end of the billing period in which the one-month notice period ends, and nothing more is charged after that. For a yearly plan, cancel at least one month before the renewal date to stop the next year from renewing; the current year stays paid and active until it ends.
11.3. We can end the agreement without giving a reason with one month’s notice by e-mail. We then refund the prepaid fees for any period after the end date.
11.4. Either party may end the agreement with immediate effect by notice if the other party seriously breaches it and does not remedy the breach within 14 days of a written notice, or becomes insolvent. You may also end it with immediate effect if we materially reduce the Service under section 3.5, or before a change to the terms or prices takes effect.
11.5. Free trials and accounts without a paid subscription can be closed by either party at any time.
11.6. Sections that by their nature should survive (fees owed, confidentiality, liability, indemnities, data return and governing law) survive the end of the agreement.
12. Data export, switching and deletion
12.1. You can export your data at any time. After the agreement ends you keep read access to export it for 30 days; after that we delete it, except data we must keep by law (for example invoices and acceptance records).
12.2. Switching under the EU Data Act: you can ask us at any time, with the notice in section 11.2, to help you move your exportable data to another provider or to your own systems. Within 30 days of your request we make your data available in a structured, commonly used, machine-readable format (CSV or JSON), keep the Service running during that transition period, and explain the export formats. We do not charge for switching or for exporting your data.
13. Complaints
13.1. Send complaints to ask@answerbid.co with your account e-mail and a description of the problem. We reply within 14 days.
14. Changes to these terms
14.1. We may change these terms for important reasons: changes in law, in the Service or in our providers. We will e-mail you at least 30 days before a change takes effect and ask you to accept the new version in the Service. If you do not accept it, you can end the agreement before it takes effect, and the current version applies until then. Changes required by law may take effect sooner if the law requires it.
15. Governing law and disputes
15.1. The agreement is governed by Polish law, without regard to its conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply.
15.2. Disputes will be resolved by the common court competent for our registered office in Poland. We may also bring a claim in the courts where the Customer has its seat. Nothing in this section prevents either party from seeking urgent interim relief in any competent court.
15.3. These terms are written in English. If we provide a translation, the English version prevails.
16. General
16.1. Notices: we send notices to the e-mail address of the account owner; you send them to ask@answerbid.co. A notice by e-mail is effective when sent, unless the sender receives a delivery failure.
16.2. Neither party may assign the agreement without the other’s consent, except to a successor of its business as a whole after a merger or sale, with notice.
16.3. The parties are independent contractors. These terms, with the documents in section 1.2, are the entire agreement on their subject. If a provision is invalid or unenforceable, the rest remains in force and the provision is replaced by a valid one closest to its purpose. Not enforcing a right is not a waiver of it.
